TERMS OF SERVICE

MIMSHACK GROUP LLC, USA (“Mimshack Group”, “we”, “us”, or “our”)

This Terms of Service (“Terms”) is a legally binding agreement between Mimshack Group LLC and each person (“you”, “Participant”) who enrolls in the MedPreneur Academy (“Program”).
By enrolling, you confirm that you have read and agree to these Terms;
1. Governing Law and Jurisdiction
1.1 These Terms and any dispute or claim (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wyoming, USA.
1.2 The courts located within the State of Wyoming shall have exclusive jurisdiction over any disputes arising in connection with the Program.
2. The Program
2.1 Program Content. The Program is a four-week masterclass that may include live teaching sessions, community access, Q&A interactions, downloadable resources, templates, and recorded content (“Program Materials”).
2.2 Access Period. You will have access to the community platform and Program Materials during the four-week core Program, and extended access to community content & future MedPreneur curriculum for 12 months after your cohort concludes. After this period, continued community access requires renewal.
2.3 Program Modifications. We may modify coaches, sessions, platform/tools, or delivery approach provided that overall Program value is not materially diminished.
3. Enrollment & Payments
3.1 Fees. The Program fee is USD $5,000.
3.2 Payment Options:
Participants may:
(a) pay in full at enrollment (USD $5,000), or
(b) secure their spot with a USD $1,000 non-refundable deposit and pay the remaining USD $4,000 prior to Program start.
3.3 Non-Refundable Payments. All payments — including deposits, full payments, and balances — are strictly non-refundable under all circumstances.
3.4 Commitment to Full Fee. If using the deposit method, you agree to pay the remaining balance of USD $4,000 as required. Failure to pay the remaining balance does not cancel your obligation — the debt remains owing.
3.5 Payment Processing. Payments are processed securely via Stripe. We do not store your payment card numbers.
3.6 Failed Payments & Delays. If payments are not completed within required timeframes, MedPreneur Academy may suspend access until payment is made, and reserves the right to pursue outstanding amounts.
4. Refunds & Cancellation
4.1 No Refund Policy. Due to the limited-seat nature of the Program and the delivery of live learning, interaction, and resources from expert faculty, all fees and deposits are final and non-refundable.
4.2 No Chargebacks. By enrolling, you agree not to pursue chargebacks or payment reversals. Doing so constitutes breach of contract and may result in removal from the Program and possible legal action.
4.3 Replacement / Transfer. Enrollment is personal and non-transferable. You may not assign your spot to another individual without written consent.
5. Behaviour & Community Standards
5.1 Participants must behave respectfully and professionally. Harassment, unprofessional conduct, spamming, abusive or discriminatory behaviour is prohibited.
5.2 MedPreneur Academy may remove participants for inappropriate conduct without refund.
6. Confidentiality & Intellectual Property
6.1 All Program Materials are owned by MedPreneur Academy / Mimshack Group LLC.
6.2 Participants receive a non-transferable licence to access Program Materials for personal educational use only.
6.3 You may not copy, distribute, reproduce, or publicly share Program Materials without written permission.
6.4 You agree not to disclose or teach MedPreneur Academy frameworks, methodologies, scripts, templates, or internal processes to others outside the Program.
6.5 You retain ownership of your content posted within the community but grant MedPreneur Academy a licence to use testimonials, statements, growth metrics, and transformation results in marketing.
7. Disclaimers
7.1 The Program is educational and informational only.
We do not guarantee any specific financial gains, career outcomes, or audience growth results.
7.2 No medical, legal, regulatory, or tax advice is provided. You are solely responsible for compliance with your profession’s licensing & ethical guidelines.
8. Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim related to the Program shall not exceed the total fees paid by you.
9. Force Majeure
We are not liable for delays caused by circumstances beyond our reasonable control, including illness, platform outages, or global events.
10. Data & Privacy
10.1 We collect and process personal information for Program administration.
10.2 Data may be handled through GoHighLevel and Stripe.
10.3 All data is processed in accordance with applicable data privacy laws & regulations.
11. Termination
11.1 We may terminate your access without refund if you breach these Terms or behave inappropriately.
11.2 Access cannot be transferred, sold, shared, or lent.
12. Changes to Terms
We may update these Terms as required. Revised versions will be posted and notified. Continued participation constitutes acceptance.
13. Entire Agreement
These Terms constitute the entire agreement relating to the Program.
Participant Agreement
All payments are final.
Deposits are non-refundable.
You will not dispute payments or file chargebacks.
You agree to the Code of Conduct.
You understand no guaranteed outcomes are promised.
The Program is for educational purposes only.
